I don't know. If I was writing someone into a book, I would be a little careful about writing exactly what they told me. I would only apply what they told me if (and only if) what they were telling me had directly to do with me. If they were telling me something about themselves, an intimate detail of their past perhaps, I would leave it out of the book--that's they're story, not mine. But as far as using context out of a conversation, I dig that. I think all writers have plucked a line or two from their own real life dialogue. As far as writing anything personally pejorative, I woulld steer clear of that as well. However, if it was necessary than I would put as much distance between my character and the person in question. Most of all, a writer should not write with fear of getting sued. It happens to ALL published and sucessful writers from time to time. Trust me. Our job is basically to take out as much legitimacy from the claim as we can.
References :
I once had lunch with a writer.

You know what they call a novel that's part fiction, part true story? fiction

Just change the names, that way you can claim it is all fiction instead of having to argue you didn't mean to libel people later.
